Terms of Service

These Terms of Service govern your access to and use of the ConsentOS platform operated by Dataguard India. By creating an account or accessing the platform, you agree to these terms in full. If you do not agree, you should not use the platform.

1. Scope
These terms apply to businesses and individuals ("you", "your", "Client") who access the ConsentOS platform. They form a binding agreement between you and Dataguard India Private Limited, a company incorporated in India with its registered office at [Registered Address].
Where your organisation has signed a separate enterprise agreement with Dataguard India, the terms of that agreement take precedence over these terms to the extent of any inconsistency.
2. The Licence
Subject to your compliance with these terms and timely payment of applicable fees, Dataguard India grants you a non-exclusive, non-transferable licence to access and use the ConsentOS platform for your internal business operations during the period covered by your active subscription.
This licence does not include the right to:
- Sublicence or resell access to the platform
- Use the platform to provide managed services to third-party clients without our prior written agreement
- Transfer your account or rights under these terms to another entity
3. Your Obligations
You are responsible for the following:
Account security. You must maintain the confidentiality of your account credentials and ensure that only authorised personnel access your account. You must notify us at security@dataguardindia.com if you become aware of any unauthorised access.
Data accuracy. You are responsible for the accuracy and legality of the personal data you upload or process through the platform.
Legal compliance. You must ensure your use of the platform complies with the DPDP Act 2023 and all other applicable laws. ConsentOS provides the technical infrastructure for consent management; legal compliance with the DPDP Act in respect of your own data processing activities remains your responsibility.
Accurate account information. You must provide accurate information when registering and keep it current. Accounts registered with false information may be suspended.
4. Prohibited Uses
You may not use the ConsentOS platform to:
- Process personal data outside the scope of your stated business purpose
- Attempt to gain unauthorised access to other accounts, systems, or networks connected to the platform
- Reverse-engineer, decompile, or attempt to extract source code from the platform
- Interfere with the platform's infrastructure or impair access for other users
- Use the platform in any way that violates applicable law or infringes the rights of any third party
- Resell or sublicence access to the platform without our prior written consent
Breaches of this section may result in immediate suspension or termination of your account under Section 7.
5. Fees and Payment
Access to ConsentOS is billed according to the plan you select at registration. Fees are payable in advance on a monthly or annual basis, as specified in your plan details.
Invoices are issued on the first day of each billing period. Payment is due within 14 days of the invoice date.
If payment is not received within 14 days of the invoice date, we may suspend access to your account until the outstanding amount is settled. If payment remains outstanding for more than 60 days, we may terminate your account in accordance with Section 7.
All fees are stated exclusive of applicable GST. GST will be added where required under Indian tax law.
We do not offer refunds for unused portions of a paid subscription period, except where required by law or stated otherwise in a separate enterprise agreement.
6. Intellectual Property
The ConsentOS platform, including its source code, documentation, design elements, trademarks, logos, and proprietary methodologies, is the property of Dataguard India Private Limited and is protected by applicable intellectual property law.
These terms grant you a licence to use the platform. They do not transfer any ownership of intellectual property to you.
You retain full ownership of all data you upload or process through the platform. By uploading data, you grant Dataguard India a limited, non-exclusive licence to process that data for the sole purpose of delivering the platform services to you. This licence ends when you close your account or delete the relevant data.
7. Termination
By you. You may close your account at any time by contacting us at support@dataguardindia.com. Account closure takes effect at the end of your current billing period. Data export requests must be made before the account closure date.
By us. We may suspend or terminate your account if you:
- Fail to pay fees within 60 days of the invoice date
- Breach any provision of these terms and fail to remedy the breach within 14 days of written notice from us
- Use the platform for any purpose listed as prohibited in Section 4
- Provide false registration information
- Become subject to insolvency, administration, or similar proceedings
After termination. On termination, your access to the platform will end immediately or at the close of the billing period, depending on the reason for termination. We will retain your data for 90 days following termination to allow you to request an export. After that period, your data will be deleted in accordance with our Privacy Policy.
8. Limitation of Liability
The ConsentOS platform is provided on an "as available" basis. Dataguard India does not guarantee continuous or uninterrupted access to the platform, and we are not liable for any downtime caused by factors outside our reasonable control, including third-party infrastructure failures, telecommunications failures, government actions, or force majeure events.
To the extent permitted by applicable law, Dataguard India's total liability to you in connection with any claim arising from your use of the platform, whether in contract, tort, or any other basis, is limited to the fees you paid to us in the three months immediately preceding the event giving rise to the claim.
Dataguard India is not liable for indirect, consequential, incidental, or punitive damages, or for loss of profits, revenue, data, or business opportunity, even where we have been advised of the possibility of such losses. This limitation does not apply where such exclusion is prohibited by applicable law.
9. Governing Law and Disputes
These terms are governed by the laws of India. Any dispute arising from or related to these terms or your use of the ConsentOS platform shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
Before initiating formal legal proceedings, both parties agree to attempt to resolve the dispute through good-faith negotiation for a period of 30 days from the date one party gives written notice of the dispute to the other. If the dispute is not resolved within that period, either party may pursue formal proceedings.
10. Changes to These Terms
We may update these terms to reflect changes in the platform, our business practices, or applicable law. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the platform after that date will be taken as acceptance of the updated terms.
If you do not accept the updated terms, you may close your account before the effective date. The current version of these terms is always available at consentos.in/terms.
